Job Description: Senior Contract ManagerDepartment: FinanceEmployment Type: Full TimeLocation: Canada – RemoteDescriptionThe Senior Contract Manager will be responsible for managing and overseeing all aspects of client and vendor contracts, non-disclosure agreements (NDAs), insurance policies, leases, real estate matters, risk and compliance issues and programs, and performing M&A due diligence. - Draft, review, negotiate, and manage a variety of contracts, including client agreements, vendor contracts, NDAs, service level agreements (SLAs), and other legal documents.
- Ensure all contracts comply with legal, regulatory, and company standards and policies.
- Monitor contract performance and compliance, manage renewals, amendments, and terminations as necessary.
- Maintaining accurate records of contracts as an audit trail or use for evidence in the case of dispute or issue.
Risk & Compliance:
- Oversee compliance functions, including Criminal Justice Information Services (CJIS) compliance.
- Collaborate with other teams to manage compliance requirements such as SOC II and ESG.
- Identify and mitigate contractual risks, ensuring compliance with relevant laws and regulations in both the USA and Canada.
- Develop and implement risk management strategies and policies.
- Maintain up-to-date knowledge of industry trends, legal developments, and regulatory changes.
Insurance & Real Estate:
- Manage insurance policies, including procurement, renewals, claims, and compliance.
- Oversee real estate matters, including leases, property acquisitions, and facility management.
M&A Due Diligence:
- Conduct thorough due diligence on potential acquisitions, identifying and evaluating contractual, legal, and compliance risks.
- Assist in the integration of acquired entities, ensuring seamless transition and alignment of contractual obligations.
Stakeholder Collaboration:
- Work closely with internal stakeholders, including legal, finance, operations, HR, and executive teams, to support business objectives and strategic initiatives.
- Serve as a point of contact for external partners, clients, and vendors regarding contractual and compliance matters.
Process Improvement:
- Develop and implement best practices for contract management and compliance, including the use of contract management software and tools.
- Streamline and optimize contract lifecycle and compliance processes to improve efficiency and effectiveness.
Administrative team management:
- Leading our group of administrative professionals and office managers
- Guiding and managing their duties in CJIS administration, company administrative tasks, and office management.
Additional Responsibilities
- Receive mentoring and feedback from peers and others
- Actively Participate in Team Huddles, L10 Meetings, One on One Meetings, and any other Team Meetings
- Create and update documentation when changes or occur, or when discoveries are made.
- Attend monthly training & team meetings as required.
- Maintain constant and clear communication with colleagues
- Collaborate with all VC3 departments to maximize client satisfaction
- Continuously provide feedback to help improve processes and procedures to provide superior service
- Provide or facilitate timely responses and guidance to client requests
- Maintain documentation, processes, and standards through the change management processes
- Maintain an in-depth knowledge of the products and services that are offered

Skills, Knowledge and Expertise
- Bachelor’s degree in Business Administration, Law, Finance, or a related field; advanced degree or legal certification preferred.
- Professional certification in contract management (e.g., Certified Commercial Contracts Manager (CCCM), Certified Professional Contracts Manager (CPCM)) is highly desirable.
- A minimum of 10+ years of experience in contract management, with a proven track record in handling complex contracts, NDAs, insurance policies, and real estate matters, particularly in the USA and Canada.
- Contract Negotiation and Drafting: Exceptional skills in negotiating and drafting a wide variety of contracts, ensuring alignment with business goals and compliance requirements.
- Risk Management: Proven ability to identify, assess, and mitigate risks associated with contracts and compliance obligations.
- Analytical Thinking: Strong analytical and problem-solving skills, with a keen eye for detail and the ability to interpret complex legal and regulatory documents.
- Communication: Excellent written and verbal communication skills, with the ability to convey complex information clearly and effectively to both internal and external stakeholders.
- Project Management: Strong project management skills, with the ability to manage multiple projects and priorities simultaneously in a fast-paced environment.
- Relationship Building: Effective interpersonal skills to build and maintain relationships with clients, vendors, and internal teams.
- Technology Proficiency: Proficiency in contract management software and tools, as well as Microsoft Office Suite (Word, Excel, PowerPoint).
- Legal and Regulatory Compliance: Comprehensive understanding of contract law, corporate governance, and regulatory requirements in the USA and Canada, including CJIS compliance.
- Industry Knowledge: Familiarity with the MSP or IT services industry, including common contractual terms, service level agreements, and industry standards.
- Insurance and Real Estate: Knowledge of managing insurance policies and real estate matters, including leases and property acquisitions.
- M&A Due Diligence: Experience with mergers and acquisitions, including due diligence processes, risk assessment, and integration planning.
- Best Practices: Up-to-date knowledge of industry best practices for contract management and compliance, with a commitment to continuous improvement and professional development.
